Terms of Service

1. Acceptance

These Terms are an agreement between you and Kerdixo, Inc., a Delaware corporation ("Kerdixo", "we"). By accessing kerdixo.ai or requesting access to Kerdixo, you agree to these Terms. If you do not agree, do not use the service.

2. Private beta

Kerdixo is in private beta. Access is granted by application, in waves, and may be limited, changed, or withdrawn at any time. Features may change as the product develops.

3. Eligibility and accounts

Kerdixo is a business service. You must be at least 18, able to enter a binding contract, and using the service for business purposes. You sign in with Google and are responsible for activity under your account and for the accuracy of the information you provide.

4. Identity verification

Access requires identity verification (KYC) through a third-party provider before your first offer can go live. We may decline, pause, or revoke access where verification is incomplete or where we identify risk.

5. Acceptable use and enforcement

You agree to use Kerdixo lawfully and in line with the policies of the ad platforms you connect, including Meta and TikTok. You will not misuse the service, interfere with its operation, misrepresent traffic or conversions, or attempt to bypass the guardrails that bound automated actions. Conversions that are not matched by corresponding media-buying activity, and any traffic we reasonably determine to be fraudulent or non-compliant, may result in withheld payouts, reversal of affected amounts, and suspension or removal of the account.

6. The operator and your responsibility

Kerdixo runs in Shadow mode by default and proposes actions for your review. Full Auto is enabled by you, per campaign, inside guardrails you approve. You remain responsible for your campaigns, budgets, and compliance with applicable rules.

7. Fees and payouts

Kerdixo is free for affiliates: no subscription and no separate AI fee. The platform earns through offer economics. Affiliate payouts are made weekly on net-7 terms, subject to conversion confirmation and the fraud review described in section 5. Advertiser commercial terms — including payment tiers and payout events — are agreed in a separate insertion order or agreement.

8. Intellectual property

Kerdixo and its underlying technology, models, and operating data are owned by Kerdixo, Inc. You retain ownership of the content and creatives you provide, and grant us the licence needed to operate your campaigns with them.

9. Disclaimers

Kerdixo is provided on an as-is basis during beta. We do not guarantee specific performance, results, availability, or outcomes.

10. Limitation of liability

To the maximum extent permitted by law, Kerdixo, Inc. is not liable for indirect, incidental, or consequential damages, or for lost profits, arising from your use of the service, and our total aggregate liability is limited to the greater of one hundred US dollars ($100) or the amounts payable by us to you in the twelve months before the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including any mandatory rights you hold in your country of residence.

11. Indemnity

You will indemnify Kerdixo, Inc. against third-party claims arising from your content and creatives, your campaigns and offers, or your breach of these Terms or of applicable law.

12. Suspension and termination

You may stop using Kerdixo and close your account at any time. We may suspend or terminate access for breach of these Terms, legal or platform-compliance risk, or discontinuation of the beta. On termination, your access ends; payouts already earned remain payable subject to sections 5 and 7; and your data is handled as described in our Privacy Policy, including deletion on request.

13. Changes

We may update these Terms. Material changes are reflected by the date above, and continued use means you accept the updated Terms.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising from these Terms or the service, and each party consents to their jurisdiction. If mandatory law in your country of residence grants you the right to bring proceedings locally, these Terms do not take that right away.
